ASIC Compliance & Company Secretary Specialist (North Sydney)
AusBusinessRegister.com.au keeps a portfolio of foreign-owned Australian companies in good standing with ASIC. We are looking for a meticulous corporate compliance and company secretarial specialist to own that work, from annual reviews and form lodgements to statutory registers and compliance calendars.
About the role
This role is the backbone of our compliance promise to clients. You will manage the full ASIC lifecycle for proprietary companies, public companies, and foreign companies registered under Part 5B.2 of the Corporations Act. That means lodging the right forms on time, keeping statutory registers accurate, tracking deadlines across a large portfolio, and making sure no client ever misses an annual review or pays an avoidable late fee. You will work alongside our professional directors, registered agent function, and tax team, and you will be the person clients trust to keep their Australian entity clean on the public record.
What you will do
- Prepare and lodge ASIC documents through registered agent channels, including annual review statements, Form 484 changes, Form 361 agent notifications, and foreign company lodgements
- Maintain statutory registers, including registers of members, directors, secretaries, and beneficial ownership
- Build and run compliance calendars so every annual review, solvency resolution, and change notification is met within the prescribed timeframe
- Prepare directors’ and members’ resolutions, minutes, and company secretarial documentation
- Monitor changes in client circumstances and lodge notifications within statutory deadlines to avoid late lodgement fees and penalties
- Manage company incorporations, deregistrations, and changes to company details
- Liaise with ASIC, clients, and overseas advisers to resolve queries and discrepancies on the register
- Keep clean, auditable records and help improve our compliance workflows and templates
What you will need
- A Governance Institute of Australia qualification (Certificate or Graduate Diploma), or solid corporate governance experience in lieu
- Hands-on experience with ASIC lodgements and registered agent portals, ideally CAS or equivalent
- A working knowledge of the Corporations Act 2001, including foreign company obligations under Part 5B.2
- Strong company secretarial skills, including drafting resolutions, minutes, and maintaining statutory registers
- Exceptional attention to detail and a deadline-driven approach to a large portfolio
- Comfort working with overseas clients across time zones
- Discretion in handling confidential ownership and director information
- A proactive, organised manner and the judgement to flag risks early
